1. Acceptance of Terms
Welcome to vibecode.law. These Terms of Use ("Terms") constitute a legally binding agreement between you ("you", "your", or "User") and vibecode.law ("we", "us", "our", or the "Platform") governing your access to and use of the vibecode.law website, services, and platform (collectively, the "Services").
By accessing or using our Services, you confirm that you have read, understood, and agree to be bound by these Terms and our [/legal/community-guidelines](Community Guidelines) (as updated from time to time), which are incorporated by reference. If you do not agree to these Terms or the [/legal/community-guidelines](Community Guidelines), you must not access or use the Services.
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Platform with a new "Last Updated" date. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.
2. Description of Service
vibecode.law is a discovery and showcase platform for legal technology projects created using AI-assisted development tools and methodologies (commonly referred to as "vibecoding"). The Platform enables:
- Project Creators to submit, showcase, and promote their legal tech projects;
- Users to discover, explore, and engage with legal technology projects; and
- Community Members to discuss, review, and provide feedback on submitted projects.
Important Notice: vibecode.law is a discovery platform only. We do not develop, operate, host, or control the third-party projects listed on our Platform. Each project is independently created and maintained by its respective developer(s).
3. Eligibility
To use the Services, you must:
(a) be at least 18 years of age;
(b) have the legal capacity to enter into a binding contract;
(c) not be prohibited from accessing or using the Services under the laws of England and Wales or any other applicable jurisdiction; and
(d) not have been previously suspended or removed from the Services.
By using the Services, you represent and warrant that you meet all eligibility requirements.
4. Account Registration and Security
4.1 Account Creation
Certain features of the Services require you to create an account. When registering, you agree to provide accurate, current, and complete information and to update such information as necessary.
4.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:
(a) other than where accessing your account exclusively through social login, create a strong unique password;
(b) not share your account credentials with any third party;
(c) notify us immediately of any unauthorised access to or use of your account; and
(d) accept responsibility for all activities conducted through your account.
We are not liable for any loss or damage arising from your failure to protect your account credentials.
5. User Submissions
5.1 Your Content
The Services may allow you to submit, post, or share content, including project listings, descriptions, comments, reviews, and other materials ("User Submissions"). You retain ownership of your User Submissions, subject to the licence granted below.
5.2 Licence Grant
By submitting User Submissions to the Platform, you grant us a worldwide, irrevocable, non-exclusive, royalty-free, sublicensable, and transferable licence to use, reproduce, modify, adapt, publish, translate, distribute, publicly perform, and display your User Submissions in connection with operating and promoting the Services.
5.3 Your Representations
You represent and warrant that:
(a) you own or have the necessary rights to submit your User Submissions;
(b) your User Submissions do not infringe any third party's intellectual property rights, privacy rights, or other legal rights;
(c) your User Submissions are accurate and not misleading; and
(d) your User Submissions comply with these Terms (including the [/legal/community-guidelines](Community Guidelines)) and all applicable laws.
5.4 Responsibility for Content
You are solely responsible for your User Submissions. We do not endorse any User Submissions or any opinion, recommendation, or advice expressed in connection with any User Submissions.
6. Prohibited Conduct
You agree not to:
(a) submit any malicious code, viruses, malware, or harmful software;
(b) impersonate any person or entity or misrepresent your affiliation with any person or entity;
(c) engage in any form of spam, manipulation, or artificial inflation of engagement metrics;
(d) infringe any intellectual property rights, including patents, trademarks, copyrights, or trade secrets;
(e) harass, abuse, threaten, or intimidate other users;
(f) use the Services for any unlawful purpose or in violation of any applicable law;
(g) attempt to gain unauthorised access to the Services, other users' accounts, or any systems or networks connected to the Services;
(h) interfere with or disrupt the integrity or performance of the Services;
(i) collect or harvest any information from the Services without our prior written consent;
(j) use automated means (including bots, scrapers, or spiders) to access the Services without our express permission; or
(k) violate our [/legal/community-guidelines](Community Guidelines) (as updated from time to time).
7. Third-Party Projects Disclaimer
7.1 Nature of Listed Projects
Projects listed on vibecode.law are created by independent third-party developers, often using AI-assisted coding methodologies ("vibecoding"). You acknowledge and agree that:
(a) Experimental Nature: Projects on this Platform are experimental in nature. Many have been developed rapidly using AI code generation tools and may not have undergone rigorous testing, security audits, or quality assurance processes.
(b) No Endorsement: Listing a project on vibecode.law does not constitute our endorsement, verification, or approval of that project. We make no representations regarding the quality, safety, legality, or fitness for purpose of any listed project.
(c) Potential Issues: Projects may contain bugs, errors, security vulnerabilities, incomplete features, or produce inaccurate outputs. AI-generated code may exhibit unexpected behaviours or "hallucinations."
(d) No Warranty: We provide no warranty whatsoever regarding any third-party project listed on the Platform.
7.2 Not Suitable for Production Use
You are strongly advised that projects listed on this platform may not be suitable for production use in legal practice or any professional context.
Before deploying any project discovered through vibecode.law in a production environment, you should:
- conduct thorough code review and security assessment;
- perform comprehensive testing;
- obtain independent professional advice where appropriate; and
- ensure compliance with all applicable professional regulations and standards.
7.3 Confidential, Privileged, and Personal Data
You must not upload, input, or otherwise provide any confidential, legally privileged, or personal data to or via the Services.
This includes, but is not limited to:
- client confidential information;
- legally privileged communications;
- personal data as defined under applicable data protection laws;
- sensitive business information; or
- any information subject to professional secrecy obligations.
Uploading such data may:
- compromise legal professional privilege;
- breach data protection laws;
- violate professional conduct rules (including SRA Standards and Regulations); or
- expose you and your clients to significant legal and regulatory risks.
You assume all risk and responsibility for any data you provide via the Services and to or in connection with third-party projects discovered via the Services.
8. No Legal Advice
8.1 Information Only
The Platform and its contents are provided for informational and discovery purposes only. Nothing on this Platform constitutes legal advice, and no lawyer-client relationship is created between you and vibecode.law.
8.2 Consult a Professional
If you require legal advice, you should consult a qualified legal professional licensed in your jurisdiction. Do not rely on any project, content, or information on this Platform as a substitute for professional legal advice.
8.3 No Liability for Legal Decisions
We accept no responsibility for any decisions you make based on projects, content, or information found on or via the Services.
9. Intellectual Property
9.1 Our Intellectual Property
The Services, including all content, branding, UI/UX, features, and functionality (excluding User Submissions), are owned by vibecode.law and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our prior written consent.
9.3 Feedback
If you provide us with feedback, suggestions, or ideas regarding the Services, you grant us an unrestricted, perpetual, irrevocable, royalty-free licence to use such feedback for any purpose without compensation to you.
10. Intellectual Property Complaints
10.1 Reporting Infringement
If you believe that any content on the Platform infringes your intellectual property rights, please contact us with the following information:
(a) identification of the copyrighted work or other intellectual property claimed to have been infringed;
(b) identification of the allegedly infringing material and its location on the Platform;
(c) your contact information;
(d) a statement that you have a good faith belief that the use is not authorised;
(e) a statement that the information in your notice is accurate and that you are authorised to act on behalf of the rights holder; and
(f) your physical or electronic signature.
10.2 Counter-Notice
If you believe your content was wrongly removed, you may submit a counter-notice with the required information.
11. Disclaimer of Warranties
11.1 "As Is" Basis
The Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory.
11.2 No Warranty
To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:
(a) implied warranties of satisfactory quality, fitness for a particular purpose, and non-infringement;
(b) warranties that the Services will be uninterrupted, error-free, or secure;
(c) warranties regarding the accuracy, reliability, or completeness of any content; and
(d) warranties regarding any third-party projects listed on the Platform.
11.3 Third-Party Projects
We make no warranties whatsoever regarding third-party projects, including their functionality, security, legality, or suitability for any purpose.
12. Limitation of Liability
12.1 Exclusion of Liability
To the maximum extent permitted by applicable law, vibecode.law, its developers, directors, officers, employees, moderators, agents, and affiliates shall not be liable for:
(a) any indirect, incidental, special, consequential, or punitive damages;
(b) any loss of profits, revenue, data, goodwill, or other intangible losses;
(c) any damages arising from your use of or inability to use the Services;
(d) any damages arising from your use of any third-party project discovered through the Platform;
(e) any unauthorised access to or alteration of your data;
(f) any conduct or content of any third party on the Services.
12.2 Cap on Liability
In no event shall our total liability to you for all claims exceed the greater of: (a) the amounts you have paid to us in the twelve (12) months preceding the claim; or (b) one hundred pounds sterling (£1).
12.3 Statutory Rights
Nothing in these Terms shall exclude or limit liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited under applicable law.
13. Indemnification
You agree to indemnify, defend, and hold harmless vibecode.law and its directors, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
(a) your use of the Services;
(b) your User Submissions;
(c) your violation of these Terms;
(d) your violation of any third party's rights; or
(e) your use of any third-party project discovered through the Services.
14. Termination
14.1 Termination by You
You may terminate your account at any time by contacting us or using the account deletion feature.
14.2 Termination by Us
We may suspend or terminate your access to the Services and/or any User Submission at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to:
(a) breach of these Terms;
(b) conduct that we determine, in our sole discretion, is harmful to the Platform, other users, or third parties;
(c) requests from law enforcement or government agencies; or
(d) extended periods of inactivity.
14.3 Effect of Termination
Upon termination:
(a) your right to access and use the Services will immediately cease;
(b) we may delete your account and User Submissions; and
(c) sections of these Terms that by their nature should survive termination shall survive, including Sections 7, 8, 11, 12, 13, and 16.
15. Modifications to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by:
(a) posting the updated Terms on the Platform; and
(b) updating the "Last Updated" date.
Your continued use of the Services following the posting of modified Terms constitutes your acceptance of such changes. If you do not agree to the modified Terms, you must stop using the Services.
16. General Provisions
16.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales.
16.2 Jurisdiction
Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of England and Wales.
16.3 Entire Agreement
These Terms, together with our Privacy Policy and [/legal/community-guidelines](Community Guidelines) (each as updated from time to time), constitute the entire agreement between you and vibecode.law regarding your use of the Services. The [/legal/community-guidelines](Community Guidelines) are incorporated into these Terms by reference, and your compliance with the [/legal/community-guidelines](Community Guidelines) is a condition of your right to use the Services.
16.4 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
16.5 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
16.6 Assignment
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.
16.7 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights.
16.8 Headings
The section headings in these Terms are for convenience only and have no legal effect.
